1. Acceptance of Terms

By accessing or using TendTo.ai (the "Service"), operated by Thoughtful Labs, LLC ("we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.

These terms apply equally to free and paid tiers of the Service, including the TendTo Community forum.

2. Description of Service

TendTo is an elder care coordination platform that helps family caregivers manage medications, appointments, bills, documents, and care activities for their loved ones. The Service includes AI-powered features such as a care assistant, document analysis, and drug interaction checking, as well as a community discussion forum ("TendTo Community").

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account
• One person may not maintain multiple accounts

4. Free Trial and Subscriptions

• We may offer a free trial period for new users
• At the end of the trial, you may be required to subscribe to continue using paid features
• A free tier with limited functionality may be available and is subject to these same terms
• Subscription fees are billed in advance on a recurring basis
• We reserve the right to change pricing with 30 days' notice

5. Payment Terms

• Payments are processed securely through Stripe
• You agree to provide valid payment information
• All payments are non-refundable. No refunds or credits will be issued for partial months, downgrade refunds, or unused features.
• If payment fails, we may suspend access to paid features until the issue is resolved

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or use automated tools to extract data from the Service
• Impersonate another person or entity
• Use the Service to store information about individuals without their knowledge or appropriate authority
• Resell or redistribute access to the Service

8. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Thoughtful Labs, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. Your Content and Data

• You retain ownership of all content you upload or enter into TendTo, including documents, health data, notes, community posts, and other information
• You grant us a limited license to process, store, and transmit your content as necessary to provide the Service (including sending data to AI providers for feature functionality)
• Content posted to the TendTo Community is visible to other users; by posting, you grant us a non-exclusive license to display and distribute that content within the Service
• You are responsible for the accuracy of information you enter
• You represent that you have the right to upload any content you provide

11. Emergency Information Sharing

TendTo allows you to generate shareable emergency URLs containing medical information. By generating such a link, you acknowledge that anyone with access to that URL can view the medical information it contains. You are solely responsible for how you share these links.

12. Service Availability

We strive to maintain high availability, but the Service is provided on a "best effort" basis. We do not guarantee any specific uptime or service level agreement (SLA). We may perform maintenance, updates, or experience outages without prior notice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOUGHTFUL LABS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of data, profits, revenue, or business opportunities
• Any damages resulting from reliance on information provided by the Service, including AI-generated content or community forum posts
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages resulting from service interruptions or outages

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless Thoughtful Labs, LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

15. Termination

• You may stop using the Service at any time
• You may request account deletion by contacting [email protected]
• We may suspend or terminate your account if you violate these Terms, including the Community Guidelines
• We may discontinue the Service with 30 days' notice
• Upon termination, your right to use the Service ceases immediately
• Provisions that by their nature should survive termination (liability, indemnification, governing law) will survive

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in New York, NY, under the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified terms.
